Jinchuan Intl Dispatches Response Document on Unconditional Voluntary Cash Partial Offer; Share Trading Remains Suspended

Jinchuan Group International Resources Co. Ltd. (Jinchuan Intl) has despatched its response document to qualifying shareholders regarding the previously announced unconditional voluntary cash partial offer launched by Somerley Capital on behalf of the offeror.

The partial offer covers up to 700.00 million shares, with the offer price payable in cash. The response package—circulated on 9 April 2026—includes three key components: 1) a letter from the Board, 2) a recommendation from the Independent Board Committee, and 3) an opinion from the Independent Financial Adviser.

Shareholders are urged to review these materials in detail before deciding whether to accept or reject the offer. The company reiterated that any decision should be preceded by consulting professional advisers where necessary.

Trading in Jinchuan Intl shares has been suspended since 9:00 a.m. on 28 March 2025 and will continue to be suspended until further notice. The Board advises shareholders and potential investors to exercise caution when dealing in the company’s securities.

As of the announcement date, the Board comprises two executive directors (Cheng Yonghong and Gao Tianpeng), one non-executive director (Wang Qiangzhong), and three independent non-executive directors (Yen Yuen Ho, Tony; Poon Chiu Kwok; and Han Ruixia).
