COWELL Repurchases 193,000 Shares; Treasury Stock Rises to 3.11 Million

Hong Kong-listed Cowell e Holdings Inc. (COWELL) disclosed that it bought back 193,000 ordinary shares on 22 September 2026 via on-market transactions. The repurchases were executed at prices between HKD 22.88 and HKD 23.38 per share, representing a volume-weighted average cost of HKD 23.11 and an aggregate consideration of HKD 4.46 million.

Prior to the transaction, COWELL had 867.13 million issued shares (excluding treasury shares) and 2.92 million treasury shares. Following the buyback, outstanding shares fell by 0.022 % to 866.93 million, while treasury shares increased to 3.11 million. Total issued share capital remains unchanged at 870.04 million shares because the repurchased stock is being held in treasury rather than cancelled.

The buyback formed part of the repurchase mandate approved by shareholders on 28 May 2026, which authorises the company to repurchase up to 86.83 million shares. Cumulatively, 3.11 million shares—equal to 0.36 % of the share count on the mandate date—have been repurchased under this authority.

In line with Hong Kong Stock Exchange regulations, COWELL is subject to a moratorium on issuing, selling or transferring any shares from treasury until 22 October 2026.
