Road King Infrastructure Limited released a quarterly update on the execution of its remedial Action Plan aimed at eliminating the auditor’s disclaimer of opinion attached to the FY 2025 results. The review covers progress from 1 August 2026 to 30 September 2026.

Offshore restructuring milestones • More than 75% of the aggregate principal amount of existing offshore debt has acceded to the Restructuring Support Agreement (RSA), triggering the RSA Accession Milestone on 21 August 2026. • On 29 September 2026, noteholders for every series of securities approved Extraordinary Resolutions to shift governing law from English law to Hong Kong law. All consent conditions were satisfied and the related amendment documents executed, making the changes effective the same day. • Hong Kong High Court hearings for the scheme of arrangement are scheduled for 23 October 2026 (convening) and 10 December 2026 (sanction), signalling an orderly progression of the restructuring timetable.

Operational and liquidity initiatives • Management continues negotiations with creditors and suppliers to align settlement terms and maintain normal business relationships. • Discussions with construction‐project lenders are focused on extending repayment schedules and reducing principal and interest outflows to ease project‐level cash pressure. • Cost-control measures remain in place to curb non-essential spending. • Sales strategies and promotional activities for property developments have been refined to support volume targets and accelerate cash collection.

Governance and next steps The Board reiterates its commitment to fully implementing the Action Plan and will provide further disclosures on material developments, particularly regarding court approvals and completion of the offshore restructuring, with the objective of removing the auditor’s disclaimer of opinion at the earliest opportunity.
