CATL Issues 9,117 New Incentive Shares and Repurchases 10.25 Million A-Shares for RMB 3.10 Billion

Contemporary Amperex Technology Co., Limited (CATL) reported marginal equity dilution and intensified share buybacks in its Next Day Disclosure Return filed on 24 September 2026.

• New share issue: CATL allotted 9,117 A-shares on 24 September 2026 under the employee stock option and restricted share incentive plan approved on 5 September 2022. The shares were issued at RMB 270.53 each, expanding the company’s outstanding share count by less than 0.01%, from 4,380,621,225 to 4,380,630,342 shares.

• Buyback activity: Between 11 and 24 September 2026, the company repurchased a total of 10.25 million A-shares that have not yet been cancelled. The transactions were executed on the Shenzhen Stock Exchange at volume-weighted average prices ranging from RMB 293.69 to RMB 330.93 per share.

• Capital deployed: Aggregate consideration for the six buyback tranches amounted to approximately RMB 3.10 billion (about USD 425 million), including the most recent 24 September purchase of 680,400 shares for RMB 199.99 million.

• Ownership impact: The outstanding share base decreased by roughly 0.23% when the pending cancellations are taken into account, partially offset by the minimal 9,117-share issuance linked to the incentive scheme.

• Treasury shares: As of 24 September 2026, CATL retained 28.32 million treasury shares, unchanged from the previous reporting date.

All issuances and repurchases were authorised by the board and executed in compliance with applicable listing rules and domestic regulations, according to the company’s filing.
