SenseTime Grants 127.54 Million RSUs to Employees, Equal to 0.30% of Outstanding Shares

SenseTime Group Inc. announced the grant of 127.54 million restricted share units (RSUs) to employee participants under its 2022 RSU Scheme on 28 September 2026. The award represents approximately 0.30% of the company’s total issued share capital.

At the grant-date closing price of HK$1.22 per Class B share, the RSUs carry a notional value of about HK$155.60 million. No purchase price is payable by the grantees.

Vesting spans 12 to 50 months and may occur in multiple tranches. Each vesting tranche is conditional upon performance targets set at the discretion of the Board’s chairman. A claw-back mechanism applies in cases such as criminal charges, breaches of non-competition or confidentiality obligations, violation of group policies, or actions causing serious harm to the company.

The awards will be settled through the issue of new Class B shares within the existing scheme mandate. Post-grant, 885.12 million Class B shares—equivalent to 2.10% of the company’s total shares—remain available for future grants, including 327.80 million shares (0.78%) reserved under the service-provider sub-limit.

None of the grantees is a director, chief executive, substantial shareholder, related entity participant, or service provider, and no individual has exceeded the 1% limit on equity awards within a 12-month period. The Hong Kong Stock Exchange has received an application for listing the new shares issued upon vesting.
