CITIC Securities Company Limited announced that Chairman Zhang Youjun has resigned from all positions, effective 28 September 2026, upon reaching retirement age. Zhang also stepped down as legal representative, head of the Strategic Planning & ESG Committee, and member of the Nomination Committee. He retains 430 A-shares of the company.
Concurrently, President Zou Yingguang submitted his resignation from the presidency due to work adjustment. The Board elected Zou, currently Executive Director and Party Committee Secretary, as the new Chairman and legal representative. He will also serve as Acting President until a permanent successor is appointed and will chair the Strategic Planning & ESG Committee.
Zou joined CITIC Securities in 2017 and became Executive Director in December 2024. His previous roles include President of CITIC Securities and senior positions at CSC Financial. He holds degrees in Medicine (Capital Medical University), Economics (Central University of Finance and Economics), and an MBA (China Europe International Business School).
The Board now comprises 15 members: two executive directors, six non-executive directors, five independent non-executive directors, and one employee director. During the interim period, Chairman Zou’s dual role as Acting President departs from Corporate Governance Code provision C.2.1, but the Board states that existing checks and balances are sufficient.
CITIC Securities affirmed that the leadership changes will not disrupt normal operations and that all handovers will follow internal procedures. The company reported no disagreements with the departing executives and confirmed no outstanding commitments linked to their resignations.
