Shougang Fushan Resources Group Limited confirmed that its two ordinary resolutions were approved by substantial majorities at the General Meeting (GM) held on 29 September 2026. The poll was overseen by Tricor Investor Services Limited.

Resolution 1 – Adoption of the 2026 Share Option Scheme • Votes in favour: 3.76 billion (97.48%) • Votes against: 96.92 million (2.52%) • Total votes cast: 3.85 billion

Resolution 2 – Re-election of Mr. Li Meng as Director • Votes in favour: 3.83 billion (99.41%) • Votes against: 22.67 million (0.59%) • Total votes cast: 3.85 billion

With support comfortably above the 50% threshold, both resolutions passed as ordinary resolutions.

Shareholder Participation The company had 5.09 billion shares in issue on the meeting date, giving the poll an approximate participation rate of 75.71%. In line with Listing Rules, Chairman Chen Yi (650,000 shares), Deputy Managing Director Wang Dongming (104,000 shares), and six designated participants and their associates (259,107 shares) abstained from voting on the share option scheme.

Board Attendance All serving directors—including Chairman Chen Yi, Managing Director Li Meng, Deputy Managing Directors Chen Zhaoqiang and Wang Dongming, non-executive directors Chang Cun and Xu Qian, and five independent non-executive directors—attended the meeting in person or via electronic means.

The approved 2026 Share Option Scheme formalises the company’s equity incentive framework, while Li Meng’s re-election secures continuity in senior management as Shougang Fushan Resources advances its strategic agenda.
